Steps in the process
Are you considering listing your company on the stock exchange? Or do you want to avoid the maintenance of your shareholder register?
There are a number of different reasons for registering your company's shares with us. The process of becoming a client varies according to the ownership structure of your company. There are two ways to do the registration:
When you become a Euroclear Finland client, in practice it means that you hand over the responsibility for your shareholder register to us. All changes to the shareholder register are done in the book-entry system.
A prerequisite for incorporating to the book-entry system is always the unanimous decision of the general meeting or all the shareholders. At the general meeting, the necessary changes to the articles of association are made, as well as the decision on the registration period. The general meeting can also authorize the board to decide on the registration period. The period shall always be agreed with Euroclear Finland beforehand.
We will give you models of the proposed decisions and required amendments to the articles of association.
At the beginning of the process, you will need to get help from an Issuer Agent. An Issuer Agent is a bank that acts as a Depository Participant in Euroclear Finland's book-entry system. The agent, together with your company and Euroclear Finland, takes care of the incorporation process to the book-entry system.
The Issuer Agent also handles in practice the registration of shares to the shareholders’ book-entry accounts.
Once you have engaged an Issuer Agent and the general meeting has made the required approvals, it is time to submit your request for incorporating your shares into the book-entry system. We will deliver a ready application template for you to fill in, as well as a list of the required documents.
After approving your application, we will send you a permission to issue shares in the book-entry system. You also need to deliver the permission to the Finnish Patent and Registration office, attached to the registration notification. The changes must be registered to the trade register before the registration period starts.
During the registration period, the shares are registered to the shareholder’s book-entry account. At the same time, we will update the holdings to the company’s shareholder register.
