Digital postal voting

Euroclear Sweden’s service allows shareholders to place their votes digitally ahead of the general meetings

The new law on temporary exceptions to facilitate general meetings in companies and associations entered into force on 15 April 2020. The law allows limited companies to hold general meetings with retained shareholder influence without the shareholders having to be physically present at the general meeting. In order to facilitate for shareholders and limited companies, Euroclear Sweden is now launching a digital service for postal voting at general meetings.

Euroclear Sweden’s new service allows shareholders to place their votes digitally ahead of the general meetings. Shareholders can use BankID verification on Euroclear Sweden’s website to send their postal vote to the general meeting. Thus, the shareholders do not need to be physically present at the annual general meeting in order to vote.

Digital postal voting - how it works

  • You start by going to https://anmalan.vpc.se/euroclearproxy
  • To be able to submit your postal vote you must first identify yourself through BankID.
  • Once this has been done, the link "Submit postal vote" will be enabled for each company in the list.
  • At the following page you will be able to submit a vote for each item on the agenda where a proposal for resolution has been included in the proposed agenda for the general meeting.
  • Thereby, it is not possible to vote on for example points of order where a proposal for resolution has not been included in the proposed agenda.
  • You are always able to log in again and update your postal vote up until and during the last day to cast your vote or withdraw your postal vote entirely.

If you do not have BankID, a postal voting form can be downloaded. You then fill in, print, sign and send the form to the company. The address to the company can be found in the form. This procedure may also be used by shareholders who are legal entities.
